TERMS OF SERVICE

This Terms of Service Agreement (“Agreement”) is entered into between the Artist and the Client for the commission of an artwork (“Work”). By commissioning the Artist, the Client agrees to the following terms:1. ENGAGEMENT
a. Client provides clear and complete requirements and expectations upfront. This includes reference materials and assets before Work begins.
b. Client grants to the Artist non-exclusive rights to observe and replicate Client’s own vision/character design and reference material for the use of the Work.
c. Client warrants that the vision/character design and reference material provided to the Artist are legally obtained and authorized for use by the Client.
d. Client warrants that they have the authority to enter this agreement, be the point of contact and are solely responsible for decisions and approval during the process.
e. Artist strives to perform to the best of their ability in good faith and warrants Work is 100% original according to the Artist's best knowledge.
f. Artist may use commercially licensed, copyright-free and/or educational materials, assets and/or tools.
g. Artist warrants that they will not copy or heavily reference unauthorized materials.
h. Artist reserves the right to refuse projects or requests based on content, subject, or other reasons.
i. Artist defines scope of work, features, price, deliverables and other details for the project in a proposal in a format according to Artist discretion which may include private message or email. The details set forth by the Artist shall be agreed upon by the Client before work begins.
2. TIMELINE AND PROCESS
a. Work completion requires 1 month minimum, and may take up to 2 years depending on each project and mediums used.
b. Timeline depends on commission type, complexity, mediums used (ie watercolor or oil paints), and workload.
c. Artist provides progress updates and seeks Client feedback voluntarily.
d. Final deliverables are provided by the Artist via USPS/UPS/or FedEx.
e. If there are any delays and adjustments to the timeline, the Artist will inform the Client.
f. Clients must first agree to delays and amendments to timeline exceeding 3 months through standard communication channels.
g. Clients have the right to request refunds 3 months after deadlines if Work has not been delivered and there was no agreed upon amendment to the timeline.
3. REVISIONS
a. Two major revisions before painting begins is allowed per item shown to the Client during the process.
b. After painting has started, only minor revisions are allowed. Such as minor color changes (ie eye color, brightening/darkening of skin tone or hair color). Client accepts that some revisions might not be possible due to the nature of traditional mediums.
c. Additional charges for excessive revisions may be required. These revisions are a minimum of $5 to a maximum of $30
d. Revisions may affect progress and timeline.
4. COMMUNICATION
a. Ongoing communication and discussion will occur throughout the project, including work in progress, idea generation and collaboration, situational updates, and more.
b. Communication channels may include email, Facebook messenger, or Instagram direct messages according to Artist discretion.
c. Artist response time may vary, up to one week in order to provide better or more concrete updates.
5. RIGHTS & USAGE
a. Artist Rights
i. The Artist retains copyright, ownership, redistribution and intellectual property rights, which includes but is not limited to display, advertising, printing, the Work and work in progress on websites, social media, portfolios, public broadcast channels and more.
ii. Client does not have the right to remove or alter Artist signature or watermark on Artist works.
iii. Artist reserves the right to use the artwork Client has commissioned for Artist’s own portfolio and social media posts. Client may request that artwork is not used in portfolio and social media.
iv. If Client’s commission is a time-sensitive work (such as a birthday or christmas gift), Artist can delay public showcase by Client request.
b. Client Rights
i. Clients receive exclusive, non-transferable usage rights to the Work for personal use. Refer to Section 5.c. for commercial rights.
ii. Personal use means: display on social media accounts for promotional purposes with no direct monetization such as profile pictures, banners, and posts; print and framing in personal spaces.
iii. Client must not claim Work as their own and must credit Artist using their social tag/username/link at the instance of display of the Work or permanently on their websites, social media profiles, broadcast channels and so on.
iv. Client must not edit or modify Work in any way without prior permission from the Artist.
c. Commercial Rights
i. Commercial usage rights are not included unless specified in the commission type or listing on the Artist’s websites or as agreed upon.
ii. Commercial rights means usage of Work on streams or any monetized instances, or selling or reselling Work to another party, as a part of any product, or on another platform.
iii. Usage of Work for AI (artificial intelligence) tools; platforms or programs, ML (machine learning) tools, platforms or programs; AI or ML training; NFT; blockchain; or other for-profit platforms/purposes, is strictly prohibited.
iv. Additional charges will be required for commercial usage if not included at a rate of 2x the value of the work.
6. PAYMENTS & FEES
a. Client agrees to pay the total amount specified in USD.
b. It is the sole responsibility of Client to bear any currency conversion costs, bank transfer fees, payment provider fees and any other costs involved in transferring funds to the Artist.
c. Payment is considered as received and completed only when the total amount received on Artist’s USD account is equal to the invoice amount in USD.
d. Client agrees to pay the due amount upfront for any orders of value lower or equal to $100.
e. On orders above $100, Client agrees to pay half the invoice total upfront. The other half has to be paid when final painting is completed and before it is shipped to the Client.
f. Any other payment schedule has to be mutually agreed before work on product commences.
g. Invoices, proposal or payment link will be sent to the Client when Artist is ready to begin work. Clients must not send money before these requests for payment from the Artist.
h. Invoices must be paid within 7 days, or the project may be cancelled.
i. Prices are in USD, and paid via Square invoices or Venmo.
j. Prices may vary or change depending on complexity, requirements and/or additional requests.
k. Once Work has begun or payments have been made, the Client acknowledges Work and deliverables are physical materials.
l. Client warrants they will not issue chargebacks and the refund policy mentioned below will be followed.
m. Client is responsible for all shipping and customs fees. Shipping fees to be included in the final invoice.
7. CANCELLATION & REFUNDS
a. Client has the right to request a full refund if there's been no progress for three consecutive months. Refund conditions for commissions which require more work must be agreed separately, before the work commences. These provisions exclude work interruptions caused by unforeseen circumstances such as illness, accident or any other credibly documented reason for interruption of work.
b. No refunds are possible after work begins unless initiated by the Artist.
c. Client obliges to contact the Artist in a fast and responsive manner, responding swiftly to any requests for comments, clarifications, opinions, validation of progress etc. Lack of timely communication on behalf of Client will be recognized as implicit approval of all work progress and current state of the Work.
d. Artist reserves every right to refuse or cancel any order, under condition of full refund, without giving reasons to Client.
e. Any disrespectful behaviour will not be tolerated and may result in a cancellation of the order. Client will receive full or partial refund depending on amount of work completed. Artist will have full right to refuse any service to the Client in the future.
8. CONFIDENTIALITY
a. The Artist and Client acknowledges that information and materials that are provided to either party (including but not limited to personal information, technical information, marketing plans, payment information, or sensitive business information), or are incorporated into the deliverables, that will not be visible to the public shall be considered confidential information and shall not be disclosed to any other party without prior written permission from the owner of this confidential information.
b. Artist collects emails, names and nicknames solely for personal business records. Artist will not share or sell Client information to any third party. If Artist ships a physical artwork to Client, Client’s real name, phone number and physical address will be recorded, but Artist will not share them with anyone except the postal service for shipment formalities. Client may ask Artist to delete all Client personal information from Artist records by sending Artist a request by email.
9. INDEMNIFICATION
a. Client indemnifies Artist against claims, losses, damages, and expenses related to Work usage by the Client, breach by the Client of the Agreement, or third-party claims.
b. If Client’s rights are violated or the Work is not delivered as agreed, Artist will work to remedy the situation first.
10. ACCEPTANCE
a. Client is 18+ and legally able to commit to an agreement or has a legal guardian to make this agreement on their behalf.
b. Agreement date is upon first transaction.
